1. About NearYou

NearYou is a local business directory operated by Ryvex ("we", "us", "our"). The platform allows business owners to list their businesses and allows users to discover local services. NearYou is accessible at ryvexgroup.com and its subdomains.

2. Acceptance of Terms

By accessing or using NearYou, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the platform. These terms apply to all visitors, users, and businesses that access or use NearYou.

3. Business Listings

3.1 Submission

When you submit a business listing, you confirm that:

• You are authorised to represent the business
• All information provided is accurate and up to date
• The business is a legitimate, lawfully operating entity
• You will notify us of material changes to your listing information

3.2 Review & Approval

All listings are reviewed before going live. We reserve the right to reject, edit, or remove any listing at our sole discretion without providing a reason.

3.3 Free Listings

During our early access period, all listings are free. We reserve the right to introduce paid plans in the future. Businesses listed during early access will retain a free basic listing.

3.4 Accuracy

You are responsible for keeping your listing information accurate. NearYou is not liable for losses arising from outdated or inaccurate listing information.

4. Prohibited Content

You may not submit listings or content that:

• Is false, misleading, or fraudulent
• Promotes illegal products or services
• Is sexually explicit, violent, or offensive
• Infringes on the intellectual property rights of others
• Contains malware, spam, or unsolicited commercial messages
• Discriminates based on race, gender, religion, nationality, disability, or sexual orientation
• Impersonates another business, person, or entity

We reserve the right to remove any content that violates these rules and to suspend or terminate access for repeat offenders.

5. Intellectual Property

All content on NearYou - including the design, logo, text, and code - is owned by Ryvex or its licensors and protected by copyright and other intellectual property laws.

By submitting a listing, you grant Ryvex a non-exclusive, royalty-free licence to display, reproduce, and distribute the listing content on NearYou and in related promotional materials.

You retain ownership of any content you submit.

6. Limitation of Liability

NearYou is provided "as is" without warranties of any kind. To the fullest extent permitted by law, Ryvex shall not be liable for:

• Inaccuracies in business listings
• Loss or damage arising from your reliance on directory information
• Service interruptions or data loss
• Actions or omissions of businesses listed on the platform

Nothing in these terms limits liability for fraud, gross negligence, or death or personal injury caused by negligence.

7. Governing Law

These Terms of Service are governed by the applicable laws. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Germany.

If you are a consumer in the EU, you may also have rights under the consumer protection laws of your country of residence.
